Welcome to MDPositions.com. These Terms of Service ("Terms") govern your access to and use of the websites, services, and applications (collectively, the "Services") provided by Teleias, LLC ("Teleias", "we", "us", or "our") under the MDPositions brand. By accessing or using the Services you agree to be bound by these Terms.

1. Definitions

Account means a Client or Candidate user account with MDPositions. Candidate means an individual seeking employment as an employee or independent contractor. Client means an entity acting as an employer, recruitment firm, or staffing agency seeking employees or independent contractors. User Content consists of any Content uploaded to or created through the Services, including job postings, resumes, and other materials.

2. Services

Clients may post Content only for legitimate job openings for positions for which they are actively seeking applicants. Users are solely responsible for all User Content posted under their Account. All Clients agree to comply with current employment and anti-discrimination laws. Any use to further an unlawful or discriminatory purpose will result in Account termination.

3. Eligibility

You must be at least 18 years of age and able to form a legally binding contract to use the Services. If you are accessing the Services on behalf of a legal entity, you represent and warrant that you have authority to bind that entity to these Terms.

4. Account Registration & Security

You agree to provide accurate, current, and complete information when creating an Account, and to keep it up to date. You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your Account. Notify us immediately at support@mdpositions.com of any unauthorized use.

5. Pricing, Payments, and Billing

MDPositions subscriptions are billed monthly in advance. By entering payment information you authorize Teleias, LLC to charge the payment method on file on the same date each month. Subscriptions auto-renew until cancelled. Cancellations must be made prior to the next billing date to avoid future charges. Payments do not include taxes, levies, or duties imposed by taxing authorities — you are responsible for those. We reserve the right to change pricing with 30 days written notice.

6. Acceptable Use

The Services must be used for lawful purposes only. You agree NOT to:

Use the Services to harass, defame, or discriminate against any individual
Scrape, harvest, or reverse-engineer the Services
Post or transmit any content that is unlawful, obscene, deceptive, or fraudulent
Impersonate any person or entity
Distribute spam, unsolicited bulk communications, or malicious code
Interfere with the security or integrity of the Services
Use the Services to compete with MDPositions or to build a substantially similar service

7. Equal Opportunity

If you are a Client, you affirm that your organization is an equal opportunity employer, offering employment without regard to race, color, religion, sex, national origin, age, sexual orientation, disability, citizenship, or any other protected class except as legally required.

8. Intellectual Property

MDPositions and its underlying software contain proprietary and confidential information protected by applicable intellectual property laws. Teleias, LLC or its licensors retain all rights, title, and interest in the Services. You retain ownership of the User Content you post and grant Teleias a worldwide, non-exclusive, royalty-free license to host, display, distribute, and promote it within the Services.

9. Termination

You may cancel your Account at any time from your dashboard or by emailing support@mdpositions.com. We may suspend or terminate your Account at any time for violation of these Terms or to comply with applicable law. Upon termination, your right to use the Services ceases immediately; certain provisions (intellectual property, indemnification, limitation of liability) survive.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. WE MAKE NO REPRESENTATION OR GUARANTEE THAT ANY USER WILL FIND EMPLOYMENT OR A QUALIFIED CANDIDATE OR THAT ANY ENGAGEMENT WILL BE SUCCESSFUL. WE DO NOT CONDUCT BACKGROUND CHECKS OR VERIFICATION SCANS.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, TELEIAS, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID TELEIAS, LLC IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless Teleias, LLC from any claim, demand, loss, or expense arising out of your use of the Services, your User Content, or your violation of these Terms or applicable law.

13. Governing Law & Arbitration

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws provisions. Any dispute arising out of or relating to these Terms shall be resolved by binding arbitration in Texas administered under applicable arbitration rules. You waive any right to a jury trial or to participate in any class action.

14. Changes to These Terms

We may modify these Terms from time to time. We will notify you of material changes by posting a notice on the Services or sending an email. Continued use of the Services after the effective date constitutes your acceptance of the modified Terms.
